Creating a User Account on the Platform is optional. Posting Basic and Standard listings or applying to projects do not require login and registration. Artists may choose to join the network and feature their profiles on the Platform. Artist profiles provide additional visibility and promotional opportunities. Agents may choose to partner with us by creating their accounts. To use Premium Listing features such as artist rating tools requires an agent account registration and login.

If you register for an account on the Platform, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information and promptly update it as necessary. Monochronicle reserves the right to suspend or terminate accounts at its sole discretion, including but not limited to violations of these terms or any inappropriate use of the Platform. Monochronicle is not liable for any loss or damage resulting from unauthorized use of your account.

To access certain features of the Platform, Artists may be required to create a temporary account. For example, if selected as a finalist or to place an artwork for sale. Monochronicle reserves the right to decline or terminate an account for any reason.

By submitting or posting content on the Platform, you retain ownership of your User Content. However, you grant Monochronicle a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, transferable license (with the right to sublicense) to use, reproduce, modify, distribute, publicly display, and otherwise utilize your content in connection with the operation, promotion, and marketing of the Platform. This includes, but is not limited to, use in publications, online presentations, and promotional materials. You warrant that you have all rights necessary to grant this license, including permission from any third parties if applicable.

You are solely responsible for all material that you upload, post, or otherwise make available on the Platform. Monochronicle reserves the right, but has no obligation, to monitor, remove, or modify any content at its sole discretion. This includes but is not limited to content that is offensive, defamatory, violates intellectual property rights, has a low quality or otherwise breaches these Terms. Monochronicle may terminate or suspend accounts for violations of these guidelines or for any misuse of contact information provided on the Platform.

The content on the Platform, except for User Content, is either owned or licensed by GNV URBAN ART LLC (DBA Monochronicle). Users agree not to use, reproduce, or distribute any content from the Platform without prior authorization.

Creating Artist or Agent accounts is free of charge. Users subscribing to fee-based services on the Platform agree to the fees, payment terms, and time periods stated on the website. Such services may include certain listings, membership, educational content, and other offerings that may be added to the Platform in the future.

You agree that the Platform and all services and information provided on it are provided “As Is” and that GNV URBAN ART LLC (DBA Monochronicle) assumes no responsibility for the accuracy, timeliness, deletion, or miss-delivery of any user communication or information.

Monochronicle applies a 20% commission on all artwork sales conducted through the Platform. This commission is deducted from the final sale price of the artwork before funds are transferred to the artist. For direct invitation projects, a 20% commission is automatically subtracted from the listed project budget. Monochronicle does not charge any additional fees for basic listings, but premium features and services may incur separate fees as outlined in the pricing structure available on the Platform.

Payments made for services, including but not limited to listings, memberships, or premium features, are non-refundable once a service has commenced. If Monochronicle declines any submission, listing, or application before the service begins, a full refund will be provided. For cancellations made by users, refunds will be considered on a case-by-case basis. Monochronicle reserves the right to decline, suspend, or terminate services without notice for any reason, including non-compliance with these Terms, with any applicable fees being refunded at Monochronicle’s discretion.

Communication between users should be consistent with the mission of Monochronicle. Inappropriate use of contact information or communications that violate our terms may result in account termination.

We will communicate with you via email. You agree to facilitate communications by having a working email address that you check regularly. Monochronicle utilizes artificial intelligence (AI) technologies to process and analyze text data submitted by users for the purpose of improving user experience, optimizing content visibility, and providing relevant services. However, we do not, under any circumstances, use AI tools to create or generate artwork based on images uploaded by artists on the Platform. All images and visual content submitted by artists remain solely under their control and are only used for the purposes outlined in this Agreement, such as promotion or display within the Platform.

GNV URBAN ART LLC (DBA Monochronicle) and its affiliates shall not be liable for any damages arising from the use of the Platform or the content provided. Users are responsible for the material they post or transmit through the Platform.

You agree to indemnify, defend, and hold harmless GNV URBAN ART LLC (DBA Monochronicle), its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to your use of the Platform, your violation of this Agreement, or your infringement of any intellectual property or other rights of a third party. Monochronicle shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of the Platform.

The collection and use of personal information obtained through the Platform are governed by our Privacy Policy. By using the Platform, users agree to the terms outlined in the Privacy Policy.

Monochronicle may modify this Agreement from time to time, and continued use of the Platform indicates acceptance of the revised terms.

Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of Florida. Users consent to the exclusive jurisdiction of the state and federal courts in Gainesville, Florida for any disputes arising from this Agreement.

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, please refrain from using the Platform.
